Well Pharmacy is the UK’s largest independent pharmacy with over 750 pharmacies across the UK, and the third largest overall pharmacy chain after Boots UK and Lloyds Pharmacy in the United Kingdom. It is the largest pharmacy chain in Wales.
Bestway Group is a British multinational conglomerate company based in London, United Kingdom. It has its operations in United Kingdom and Pakistan. The group owns the UK’s second-largest wholesaler serving 125,000 independent retailers and caterers from 64 warehouses nationwide.
Well Pharmacy was purchased in 2014, from the Co-operative Group, by the Bestway Group, with the ambition to become a healthcare business with other strands, including Wholesale and B2B.
ARA Advisory provided decision making support to the management team at Well Pharmacy on a number of potential acquisitions, supporting management and the wider business. Services were provided to support the CEO, CFO, General Counsel, Finance and Estate teams. We provided support on a range of potential transactions at various stages of the deal process.
We partnered the management team in support of their M&A objectives, which focused on the core business as well as diversification, via standalone acquisitions or a Buy and Build strategy.
Developed a commercial playbook for management in support of the initial search and evaluation of prospective targets by providing an understanding of how value is created, how these businesses might interact with the core business and highlighting the opportunity in relation to synergies.
Created a criteria list for target businesses which was used to evaluate a list of acquisition targets, sourced internally and externally.
Created the valuation models that were used to inform the decision making for each potential acquisition, covering key deal metrics i.e enterprise value, offer price, comprehensive returns analysis, exit multiple, sensitivity, and carveout analysis.
Production of powerpoint presentations for management which were used to present findings to the Bestway Board.
We helped management successfully evaluate several acquisition options by providing timely commercial and corporate finance support.
We created a brand new valuation model which was presented to the Board, and has been successfully adopted by the Finance team to support future acquisitions.
